Job Summary
APR Energy is seeking a highly motivated and self-driven corporate attorney to join our Legal team where you will be part of an exciting and growing company in one of the most important and fastest developing industries in the world.
Essential Functions / Responsibilities:
· Draft, review, and negotiate a variety of commercial agreements including but not limited to, confidentiality agreements/NDA’s, MOU’s, letters of intent, MSA’s and SOW’s, teaming agreements, supplier contracts, leases, as well as contractor/consultant/employment agreements, all while ensuring both legal and business objectives are met.
· Work closely with APR Energy’s Finance, Tax, Accounting, and Treasury teams in connection with finance related transactions, including credit agreements, guaranty agreements, intercompany leases, intercompany loan agreements, and other finance and capital markets transactions.
· Provide legal counsel and governance with respect to the company’s credit agreements.
· Provide support to APR Energy’s growth strategy through complex business transactions, including due diligence on legal and regulatory matters, M&A, joint ventures, minority equity investments, licensing and development agreements, and other strategic transactions.
· Provide corporate support and counsel in connection with integration matters with acquired businesses.
· Advise business units and support with governance on regulatory matters such as anti-trust, anti-bribery, anti-money laundering, and other business-related compliance issues.
· Support compliance activities and implementation of appropriate remediation measures.
· Assist with the organization and management of APR Energy’s Document Management System.
· Provide legal support on special projects based on the interest and needs of the growing business.
Requirements:
· 5-8 years’ experience working in a corporate law department or medium to large law firm with general corporate experience, including drafting and negotiating complex commercial transaction documentation.
· Experience working on corporate finance, subsidiary administration, corporate reorganizations, corporate governance, capital markets, M&A, and other strategic transactions.
· The ability to advise others (orally and in writing) on complex, nuanced matters in a clear, succinct way.
· The ability to handle a volume of work in an efficient, practical manner.
Education:
· Juris Doctor (J.D.) from an accredited law school
· Good standing in a state bar within the U.S. and authorized to be in house counsel in Florida.
Additional Proficiencies preferred:
· A collaborative work style and willingness to work with people from a variety of diverse backgrounds.
· International experience a plus but not required.
· Spanish and/or Portuguese speaking a plus but not required.
